1. Software Vendor Posture

VERTEX ("the Service") is a software tool that grades trade calls using disclosed bar-replay methodology against live market data. It is not a broker, dealer, investment adviser, or financial institution. The Service is provided as a productivity and accountability tool for trading callers and their audiences.

By using the Service, you acknowledge that VERTEX is a software tool vendor and that you are not purchasing investment advice, trade signals, or financial recommendations.

2. No Investment Advice

VERTEX does not provide investment advice. The Service grades calls that you make — it does not tell you or your audience what or when to buy, sell, or hold any security. No content produced by the Service constitutes a recommendation, solicitation, or offer to buy or sell any financial instrument.

All grading output is based on your own calls and the disclosed bar-replay methodology. Past results — whether hypothetical or from graded calls — are not a guarantee of future performance.

3. No Fund Custody

VERTEX does not custody, hold, or access any customer funds, cryptoassets, or securities. The Service operates entirely on data you provide (symbol, direction, entry, stop, target, date). No money, tokens, or financial assets pass through the Service.

4. No Trade Execution

VERTEX does not execute, route, or facilitate any trades. The Service has no connection to any brokerage, exchange, or trading platform for order placement. All trading activity remains the sole responsibility of the customer through their own chosen broker.

5. Customer Content & Compliance

You retain all ownership of the calls and content you submit to the Service. You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and platform terms of service (including but not limited to SEC, FINRA, FTC rules, and the terms of any social media or messaging platforms you use).

The Service may generate and publish graded scorecards based on your calls. You acknowledge that these scorecards are a truthful representation of the calls as graded by the disclosed methodology, and that you are responsible for any claims you make based on them.

6. Grading & Performance

All grading is performed per the disclosed methodology, which is reproduced in full in the How Grading Works page. Key principles:

Grading method: Bar-replay vs Alpaca IEX bars. A call "triggers" only when price trades through the stated entry; win = target hit, loss = stop hit (if one bar spans both, the stop is assumed first — conservative). R is realized only; untriggered/expired calls are excluded from win-rate. Hypothetical, past results; not investment advice; not a guarantee of future performance.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. VERTEX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GRADING OUTPUT WILL BE ACCURATE IN ALL MARKET CONDITIONS.

Bar-replay grading depends on the availability and accuracy of underlying market data (Alpaca IEX bars). Market data may be delayed, incomplete, or unavailable. Grading results are inherently backward-looking and do not predict future outcomes.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERTEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF TRADING OPPORTUNITIES, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHER THEORY, EVEN IF VERTEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Termination

We reserve the right to suspend or terminate access to the Service at any time, with or without cause, including if we determine that your use violates applicable law, platform terms, or these terms. Upon termination, your right to use the Service ceases immediately.

If you are a paying customer, we will provide a pro-rata refund for any unused portion of your subscription period, less any fees already earned.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved exclusively in the state or federal courts located in Delaware.
